1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you ("Client," "User," or "you") and Cynvaris Systems Inc., a Canadian corporation with headquarters at 161 Bay St., Toronto, ON M5J 2S1, Canada (VAT: 829503714 RT 0001) ("Company," "we," "us," or "our"). By accessing, browsing, or using our website, services, products, and any related platforms (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

2. Services Description

Cynvaris Systems Inc. provides cloud infrastructure solutions, consulting services, and related technical support specifically designed for Canadian enterprises. Our Services include but are not limited to infrastructure design, deployment, management, monitoring, and support services. The specific scope of Services will be detailed in individual service agreements or proposals provided to you.

3. Use License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for lawful purposes in accordance with these Terms. You agree not to:

  • Reproduce, duplicate, copy, or sell any portion of our Services
  • Access or attempt to access our Services by any means other than the interface we provide
  • Circumvent or bypass any security measures or technological protections
  • Use our Services for any unlawful purposes or in violation of applicable laws
  • Attempt to gain unauthorized access to our systems or networks
  • Harass, abuse, or harm any person or entity
  • Transmit viruses, malware, or any code of destructive nature

4. Intellectual Property Rights

All content, features, functionality, designs, graphics, text, videos, and intellectual property contained in our Services are the exclusive property of Cynvaris Systems Inc. or our content suppliers and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You retain ownership of any content you provide to us, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with providing our Services.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials and passwords
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your use of our Services complies with all applicable laws and regulations
  • Backing up and maintaining copies of all your data and content
  • Implementing appropriate security measures on your end

6. Service Availability and Uptime

We strive to maintain high availability of our Services, but we do not guarantee uninterrupted or error-free service. Service interruptions may occur due to maintenance, updates, system failures, or factors beyond our reasonable control. We will make commercially reasonable efforts to notify you of scheduled maintenance in advance. Any specific uptime commitments are detailed in individual service level agreements (SLAs).

7. Payment and Billing

Payment terms, pricing, and billing arrangements will be specified in individual service agreements or invoices. By engaging our Services, you agree to pay all fees according to the agreed-upon payment terms. If payment is not received by the due date, we may suspend or terminate your Services. You are responsible for all applicable taxes, unless you provide valid tax-exempt documentation.

All fees are exclusive of applicable Harmonized Sales Tax (HST), Goods and Services Tax (GST), or other provincial sales taxes, which will be added where applicable.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. Confidential information includes technical specifications, business plans, pricing, customer data, and any other information marked as confidential or reasonably understood to be confidential. This obligation does not apply to information that: (a) is publicly available; (b) was known prior to disclosure; (c) is independently developed; or (d) must be disclosed by law.

9. Data Protection and Privacy

Your use of our Services is subject to our Privacy Policy, which is incorporated by reference into these Terms. We are committed to protecting your personal data in compliance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. If you process personal data as a Client, you are the data controller, and we act as a data processor. You are responsible for obtaining necessary consents and complying with applicable privacy laws.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CYNVARIS SYSTEMS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT WHERE PROHIBITED BY LAW, THE TOTAL LIABILITY OF CYNVARIS SYSTEMS INC. UNDER THESE TERMS OR ANY SERVICE AGREEMENT SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR CAD $100, WHICHEVER IS GREATER.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cynvaris Systems Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your infringement of any intellectual property rights; or (d) your violation of any applicable laws or regulations.

13. Termination

We may terminate or suspend your access to our Services immediately, without notice, for any reason or no reason, including but not limited to: (a) violation of these Terms; (b) non-payment of fees; (c) illegal activity; or (d) conduct we deem harmful or offensive.

You may terminate your use of our Services by providing written notice to us. Upon termination, your right to use our Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will become effective upon posting to our website. Your continued use of our Services following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to its conflict of laws principles. Both parties irrevocably consent to the exclusive jurisdiction and venue of the courts of Ontario for any legal proceedings arising from or relating to these Terms.

16. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation. If negotiation fails, either party may seek binding arbitration or pursue legal remedies as permitted under applicable law. Any arbitration shall be conducted in Toronto, Ontario, in accordance with the Arbitration Act of Ontario.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, shall be severed. The remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Cynvaris Systems Inc. regarding the use of our Services and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.

20. Waiver

The failure of Cynvaris Systems Inc. to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of both parties.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time without notice. Any attempted assignment in violation of this section is void.

22. Third-Party Services

Our Services may integrate or work with third-party services, products, or platforms. We are not responsible for the performance, availability, accuracy, or conduct of third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies. We make no warranties regarding third-party services.

23. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any laws, regulations, or rights of others
  • Transmit malware, viruses, or harmful code
  • Engage in phishing, fraud, or deception
  • Conduct denial-of-service attacks or other malicious activities
  • Harass, threaten, or abuse any individual or organization
  • Spam or send unsolicited communications
  • Engage in any activity that disrupts our Services

24. Feedback and Suggestions

Any feedback, comments, or suggestions you provide to us regarding our Services are voluntary, non-confidential, and may be used by us without any obligation or compensation to you.
